Terms of Service

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.

boveDAM is a digital asset management and brand-portal product. It lets you store brand assets, organize them into portals, and share them — including through public or password-protected portals. We may add, change, or remove features over time.

You are responsible for your account, for keeping your password secure, and for all activity under your account. Notify us promptly at hello@bovedam.com if you suspect unauthorized use. You may invite members to your workspace; you are responsible for the access you grant them.

• Trial — new workspaces start with a free trial. No payment is required to begin; if you do not subscribe, your workspace enters the post-trial lifecycle described below.
• Subscriptions — paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe. Prices and plan limits are shown on our pricing page and are in U.S. dollars unless stated otherwise.
• Auto-renewal — subscriptions renew automatically at the end of each period until you cancel. You authorize us (via Stripe) to charge your payment method for each renewal.
• Taxes & invoices — prices may be exclusive of taxes; you are responsible for applicable taxes. Invoices (including RFC invoices for Mexican customers) are available on request.

You can cancel at any time; your plan remains active until the end of the period you have paid for. When a subscription or trial ends without renewal, your workspace follows a lifecycle designed to protect your data: a read-only grace period during which you can still view and download your files, followed by a locked period during which your portals are not served but your data is preserved, and finally deletion. We will remind you before each step.

Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods.

You agree not to:

• Upload or share content you do not have the right to use, or that infringes intellectual-property, privacy, or other rights.
• Upload unlawful, harmful, or malicious content (including malware), or content that is defamatory, harassing, or obscene.
• Attempt to breach, probe, or disrupt the Service, circumvent its security or rate limits, or access data that is not yours.
• Resell or provide the Service to third parties except as expressly allowed by your plan.
• Upload file types outside those the Service accepts, or abuse storage, bandwidth, or other limits.

You retain all ownership of the content you upload. You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your content solely to provide and operate the Service for you — for example, generating thumbnails, packaging downloads, and serving your public portals. You are solely responsible for your content and for having the rights and permissions needed to upload and share it.

The Service itself — including its software, design, and the boveDAM name and marks — is owned by us and protected by law. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as intended.

We work to keep the Service reliable, but it is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You are responsible for keeping your own backups of important files.

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. You may stop using the Service and delete your account at any time. On termination, the data lifecycle in Section 5 applies.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your breach of these Terms or of any law or third-party right.

We may modify the Service or these Terms. When changes are material, we will update the date above and, where appropriate, notify you. Your continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of Mexico, without regard to conflict-of-law rules. To the extent permitted by law, you agree to the exclusive jurisdiction of the competent courts of Zapopan, Jalisco, Mexico for any dispute, while preserving any mandatory consumer-protection rights you have where you live.
